Welcome to Bexim.com. These Terms & Conditions ("Terms") govern your access to and use of the Bexim.com website and related services (collectively, the "Platform"), operated by Bexim.com ("Bexim", "we", "us"). By creating an account, browsing, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Who Can Use Bexim.com

Bexim.com is a business-to-business (B2B) sourcing marketplace. You must be at least 18 years old and have the authority to bind the business you represent to use the Platform as a Buyer or Supplier. By registering, you confirm that all information you provide is accurate and that you are acting on behalf of a legitimate business or as an authorized individual buyer.

2. Account Types & Registration

• Buyers can browse products, submit Requests for Quotation (RFQs), message suppliers, add products to cart, and place orders.
• Suppliers (Vendors) can list products, respond to RFQs with quotes, manage a storefront and company profile, and fulfil orders. Supplier accounts are subject to review and verification (KYC, business documentation, and optional factory inspection) before certain features are enabled.
• You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

3. Product Listings & Content

• Suppliers are solely responsible for the accuracy of their product listings, pricing, minimum order quantities, specifications, and images.
• Bexim reserves the right to review, edit, suspend, or remove any listing that violates these Terms, applicable law, or intellectual property rights, without prior notice.
• By submitting content (listings, images, company profile media, reviews, messages), you grant Bexim a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content on the Platform for the purpose of operating the marketplace.

4. RFQs, Quotes & Orders

• Submitting an RFQ or quote does not itself create a binding contract; a binding transaction is formed only when a Buyer and Supplier agree on a quote and an order is confirmed through the Platform.
• Prices shown may be tiered by quantity and are subject to change until an order is confirmed.
• Both Buyers and Suppliers are expected to communicate in good faith, honor confirmed orders, and fulfil agreed shipping and delivery timelines.

5. Payments, Fees & Commission

• Bexim may charge Suppliers a commission or platform fee on completed transactions, as disclosed in the Supplier dashboard.
• Where Trade Assurance / escrow is used, funds may be held by Bexim or a payment partner until delivery conditions are met, then released to the Supplier, minus any applicable commission.
• Coupons, promotional pricing, and keyword marketing bids are subject to the specific terms shown at the time they are offered.
• You are responsible for any taxes, duties, or customs charges associated with your purchases or sales.

6. Cancellations, Returns & Disputes

• Cancellation and return eligibility depends on the order status and the agreement reached between Buyer and Supplier at the time of purchase.
• If a Buyer and Supplier cannot resolve an issue directly, either party may open a dispute through the Platform's dispute resolution tools. Bexim may review evidence from both sides and make a determination, including releasing or reversing escrowed funds, at its reasonable discretion.

7. Prohibited Conduct

• Listing counterfeit, illegal, stolen, or infringing products.
• Circumventing the Platform to avoid fees by taking transactions off-platform in bad faith.
• Posting false, misleading, or defamatory content, reviews, or company information.
• Attempting to access another user's account or interfere with the security of the Platform.
• Using automated tools to scrape, copy, or extract data from the Platform without authorization.
• Harassing, threatening, or defrauding other users.

8. Verification & Trust Features

Supplier verification tiers, factory tour records, inspection reports, and buyer reviews are provided to help build trust between trading parties. Bexim makes reasonable efforts to facilitate verification but does not guarantee the accuracy of any Supplier's claims, certifications, or product quality, and does not act as a party to any transaction between Buyer and Supplier.

9. Intellectual Property

The Bexim name, logo, and Platform design are the property of Bexim.com. You may not copy, reproduce, or use our branding without written permission. Suppliers retain ownership of their own product content, subject to the license granted in Section 3.

10. Disclaimers & Limitation of Liability

• The Platform is provided "as is" without warranties of any kind, express or implied.
• Bexim is a marketplace facilitator and is not responsible for the quality, safety, legality, or delivery of products listed by Suppliers, except as expressly provided through Trade Assurance where applicable.
• To the maximum extent permitted by law, Bexim shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.

11. Account Suspension & Termination

Bexim may suspend or terminate your account, with or without notice, if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or the Platform. You may also delete your own account at any time from Account Settings.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. Material changes will be reflected by an updated date at the top of this page.

13. Governing Law

These Terms are governed by the applicable law of the jurisdiction where Bexim.com is registered to operate, without regard to conflict-of-law principles, unless otherwise required by local consumer protection law.
